Terms of use and platform conditions

These Terms of Use and Platform Conditions ("Terms") are intended to define the general rules governing access to and use of the BrandLovers Platform ("Platform"), as well as the responsibilities assumed by users when using the Platform, and the rights and obligations arising from the relationship between BrandLovers and the users of the Platform ("Creators"). The Platform is developed and managed by BRANDLOVERS LTDA ("BrandLovers"), a company headquartered at Rua Dr. Renato Paes de Barros, 955, 13th floor, Itaim Bibi, City of São Paulo, State of São Paulo, ZIP Code 04530-001, registered with the Brazilian Corporate Taxpayer Registry (CNPJ) under No. 45.020.630/0001-66, duly incorporated and existing under the laws of the Federative Republic of Brazil.

I. ABOUT THE BRANDLOVERS PLATFORM

The Platform provides a relationship and business intermediation channel between companies ("Brands") and users of the Platform ("Creators") in Brazil and other countries.

1.1 What are Brands? Brands are companies that have entered into a partnership with the Platform for the execution of advertising Campaigns with Creators within the Platform (collectively, "Brands" and individually, "Brand").

1.2 What is a Creator? A Creator is a natural person who creates content on social media platforms, including but not limited to Instagram, TikTok, and YouTube, whether remunerated or not, and who registers on the Platform.

1.3 What is a Campaign? A Campaign is a remunerated agreement formalized through the Platform between BrandLovers, a Brand, and a Creator for the publication of advertising content on social media.

1.4 What is a Reward? Reward means the remuneration owed to the Creator for participation in a Campaign, in accordance with the amounts and conditions informed on the Platform, to be paid within the timeframe indicated and only after full compliance with the agreement entered into, including the production, submission, validation, and publication of the Content.

1.5 How to access the application? The application is available on iOS and Android mobile platforms through the application named "BrandLovers" ("App").

1.6 Who is it intended for? Use of the Platform as a Creator is intended for any natural person aged eighteen (18) years or older who holds a valid national identification document issued in their country of domicile.

1.7 How to register? Registration of the Creator on the Platform requires the completion of a registration form within the App, in which personal and contact data must be provided, as well as any other information that may be required depending on the nature of the Platform, the Campaigns, or for purposes of security, validation, and compliance with legal obligations. Certain information may be updated directly by the Creator through the Platform, and the Creator is responsible for ensuring that such information remains accurate and up to date.

1.8 Registration initiation and completion Registration may be initiated through a web page; however, it must mandatorily be completed within the App in order for the Creator to participate in Campaigns and other business opportunities available.

1.9 Access Account and responsibility Each Creator shall have an individual access Account protected by a personal and non-transferable password. Access may depend, for security purposes, on the submission of temporary verification codes sent to the contact channels provided during registration. The Creator is solely responsible for the use of their Account and for the accuracy and updating of the information provided. Use of the Account by third parties is prohibited, even if authorized by the Creator. BrandLovers shall not be liable for any damages arising from misuse of the Account, the provision of inaccurate or outdated information, or the sharing of access credentials.

Suspension, blocking and termination of Account

1.10 Grounds for suspension or termination BrandLovers may, at its sole discretion, temporarily suspend, block, or terminate the Creator's Account, with or without prior notice, whenever it identifies, among other reasons: indications of improper use of the Platform or the Account; provision of false, inaccurate, or outdated information; breach of these Terms, Campaign rules, or operational guidelines of the Platform; attempted fraud, security violation, or risk to the integrity of the Platform, Brands, or third parties; or compliance with legal, regulatory, or competent authority requirements.

1.11 Communication of the measure Whenever possible and applicable, BrandLovers may notify the Creator of the suspension or blocking and indicate, where appropriate, the conditions for potential reinstatement of the Account.

1.12 Termination upon request or decision Account termination may occur at the request of the Creator or by decision of BrandLovers, without prejudice to any outstanding obligations assumed by the Creator or rights already accrued up to the date of termination.

II. SOCIAL MEDIA CONNECTION

Connection and eligibility

2.1 Connection of social media accounts The Platform allows the Creator to connect their social media accounts for purposes of identification, eligibility verification, and participation in Campaigns. Currently, the Platform may integrate accounts from networks such as Instagram, TikTok, and YouTube, and may incorporate additional social media platforms at any time.

2.2 Mandatory connection Connection of at least one valid social media account is mandatory for the Creator to receive proposals and participate in Campaigns. The Creator may connect or disconnect their accounts at any time through the Platform, acknowledging that disconnection may impact their eligibility for future Campaigns. Disconnection after acceptance of a Campaign, when it impairs its execution or validation, may result in the Creator's exclusion from the Campaign and cancellation of the corresponding Reward.

Connection security and use of data

2.3 Official integration flows Social media connections occur through official integration flows made available by the respective third-party platforms. BrandLovers does not have access to the Creator's passwords. Such flows are intended to ensure connection security and the integrity of shared information.

2.4 Authorization to access information By connecting a social media account, the Creator authorizes BrandLovers to access and use, on a limited basis and as permitted by the respective platforms, public or authorized information and content, exclusively for purposes of operating the Platform, validating requirements, tracking Campaigns, preventing fraud, and providing services to Brands.

Third-party platform rules

2.5 Integration with YouTube If the Creator chooses to connect their YouTube account or use functionalities that integrate data from that platform, they declare that they are aware of and agree to the YouTube Terms of Service and Google Privacy Policy, and may revoke the access granted to the Platform at any time in accordance with the settings made available by Google.

2.6 Compliance with third-party terms By connecting social media accounts to the Platform through integrations with third-party platforms, the Creator declares that they are aware of and agree to the terms of use, policies, and other applicable rules of each integrated platform, and are responsible for complying with them while using the Platform and executing Campaigns.

2.7 Responsibility for connected accounts The Creator represents and warrants that they are the lawful owner of the connected social media accounts and assumes responsibility for the truthfulness, legality, and compliance of the content published therein, being liable for any violations of third-party rights, social media platform rules, or applicable law.

2.8 Experiments and non-standard functionalities The Creator undertakes not to use, within the scope of Campaigns, any experimental features, test versions, beta tools, reach-limitation resources, format tests, A/B tests, or any other mechanisms made available by social media platforms that may alter, restrict, mask, atypically segment, or otherwise compromise the visibility, traceability, measurement, or organic or sponsored performance of the Content, even if such functionalities are officially made available by the respective social media platform. Use of such features, when it impairs the standard operation of the publication as described on the Platform or affects the verification, measurement, or delivery of the Campaign, may result in invalidation of the Creator's participation and cancellation of the corresponding Reward, at BrandLovers' sole discretion.

III. PRIVACY AND PROCESSING OF PERSONAL DATA

3.1 Application of data protection laws The processing of personal data within the scope of the Platform is subject to the provisions of these Terms, the BrandLovers Privacy Policy, and the applicable data protection laws, taking into account the regulations in force in the Creator's country of domicile.

3.2 Purposes and legal grounds BrandLovers processes Creators' personal data in a limited, proportionate, and necessary manner for the operation of the Platform, execution of Campaigns, fulfillment of contractual, legal, and regulatory obligations, fraud prevention, Platform security, and provision of services to Brands, always based on the applicable legal grounds.

3.3 Data sharing Personal data may be shared with Brands, partners, service providers, and other data processors, including in an international context, whenever such sharing is necessary for the purposes described in these Terms, subject to the legal, contractual, and technical safeguards required under applicable data protection laws.

3.4 Categories of personal data processed The personal data processed may include, as applicable, registration data, contact information, identification data, data from connected social media accounts, and Reward-related data, strictly necessary for registration, participation in Campaigns, and execution of payments due to Creators.

3.5 Data retention period Personal data shall be stored for the period necessary to fulfill the purposes described in these Terms, as well as to comply with legal, regulatory, tax, accounting, and anti-money laundering obligations, and may be retained even after Account termination or completion of Campaigns.

3.6 Publicly disclosed data The processing of personal data manifestly made public by the Creator shall observe the data subject's rights and the principles set forth in applicable data protection laws, without exempting compliance with other obligations related to security and proper use of information.

IV. CAMPAIGNS

Selection and invitation

4.1 Creation and selection criteria Campaigns are created and managed by the Brands, which previously select Creators based on criteria defined for each Campaign, and may consider, among other factors, audience data, engagement metrics, content profile, and alignment with the Campaign's objectives.

4.2 Sending of the Invitation The Creator shall only have access to a Campaign after being selected by the Brand and formally invited through the Platform ("Invitation"). The sending of the Invitation does not guarantee the Creator's participation, which shall depend on their acceptance.

4.3 Acceptance or refusal The Invitation may be accepted or refused by the Creator within the Platform. Failure to accept shall be deemed a refusal.

4.4 Expression of interest If a Campaign has already reached full capacity, the Platform provides the Creator with the option to express interest. In the event that a participating Creator withdraws, those Creators who previously registered their interest shall become eligible to join the Campaign and shall be automatically notified, in accordance with the order of expression recorded on the Platform.

Production, evaluation, and publication of content

4.5 Obligation to comply with the briefing Upon acceptance of the Invitation, the Creator shall produce the content related to the Campaign ("Content") in strict compliance with the briefing, creative guidelines, deadlines, and other conditions informed on the Platform, which shall prevail for all purposes.

4.6 Evaluation and validation The Content shall be subject to evaluation and validation by BrandLovers and/or the Brand.

4.7 Request for adjustments If the submitted Content does not comply with the briefing, creative guidelines, directives, or other applicable conditions, the Platform may request correction and resubmission of the Content as many times as necessary, within the Campaign's timeframe and conditions, until compliance is achieved.

4.8 Non-compliance and exclusion If the Creator fails to adjust the Content in accordance with the briefing and applicable guidelines, or fails to comply with deadlines and other Campaign conditions, they may be excluded from the Campaign and have their eligibility affected for future Invitations.

4.9 Publication requirements The publication of the Content must occur within the deadline indicated on the Platform and in accordance with the hashtags, tags, links, codes, formats, and other instructions defined by BrandLovers and/or the Brand pursuant to the Campaign guidelines.

Content

4.10 Legal compliance and self-regulation The Content must comply with applicable laws and advertising self-regulation rules in force in the country of publication, including, where applicable, the rules of CONAR in Brazil or equivalent bodies in other countries, particularly with respect to the clear and transparent identification of advertising content.

4.11 Ownership and non-infringement of rights The Creator represents and warrants that they are the lawful owner of the Content produced and that such Content does not infringe any third-party rights, including copyrights, image rights, voice rights, name rights, trademark rights, or any other personality or intellectual property rights, and shall be fully liable for any claims, damages, or losses arising from its use.

4.12 Third-party authorizations The Creator declares that they have obtained all necessary authorizations, licenses, and consents from any third parties involved in or portrayed in the Content, assuming responsibility for obtaining such authorizations and holding BrandLovers and the Brands harmless from any related liability. In the case of Content involving children or adolescents, the Creator declares that they have obtained express authorization from their legal guardians, in accordance with applicable law.

4.13 Ethical conduct and prohibition of discrimination During the use of the Platform and the creation of Content, as well as in the Creator's activities on media and social networks outside the scope of these Terms, the Creator undertakes not to engage in discriminatory acts based on gender identity, race, LGBTQIAPN+ sexual orientation, physical or intellectual disability, religion, politics, among others, nor to engage in conduct, acts, or omissions that characterize any form of harassment, including moral or sexual harassment. BrandLovers and the Brands do not tolerate any conduct that constitutes moral and/or sexual harassment and/or discriminatory acts that may affect, in any manner, the Platform and the reputation of the Parties.

4.14 Consequences of harassment or discrimination If any action or omission by the Creator that constitutes moral or sexual harassment or discriminatory acts is verified, the Creator shall immediately lose access to the Platform and may be held civilly and criminally liable for their acts.

4.15 Prohibition of harmful statements During the Campaign period, the Creator shall refrain from using, mentioning, disclosing, comparing, or associating their Content and/or any external opinions in a manner that may be harmful to BrandLovers or the promoted Brand, under penalty of immediate loss of access to the Platform.

4.16 Platform security and integrity The Creator shall not engage in any acts that impact the functionality of BrandLovers' services or the experience of other users or third parties, including through viruses, trojans, malware, worms, bots, backdoors, or spyware, under penalty of immediate loss of access to the Platform and civil and criminal liability.

Boost

4.17 Boosting of publications Certain Campaigns may involve boosted content. By accepting the Invitation, the Creator automatically agrees to such boosting, where applicable, and undertakes to provide the necessary information to enable it.

4.18 Essential condition Authorization for boosting constitutes an essential condition for participation, and refusal may render continued participation in the Campaign unfeasible.

4.19 Limitation of boosting Boosting shall occur on a temporary basis and be linked to the Campaign, subject to the period, objectives, and parameters defined by the Brand and BrandLovers.

Publication of Content

4.20 Recognition of the Reward The Creator shall be entitled to the Reward only after full compliance with the Campaign conditions.

4.21 Mandatory use of hashtag The Creator undertakes to mandatorily include the official hashtag indicated in the briefing, under penalty of preventing recognition of the Content and receipt of the Reward.

V. REWARD

5.1 Verification and availability of the amount Upon completion of the Campaign by the Creator, the Platform shall verify compliance with the deliverables within the deadlines and conditions defined in the briefing of each Campaign. The Reward shall only be recognized if all obligations have been fully satisfied, and shall then be made available in the Creator's wallet on the Platform, under the section designated as Reserved Balance.

5.2 Withdrawal deadline and method The Reward amount shall be available for withdrawal within the timeframe informed in the Campaign briefing, as defined by the Brand. After release, the Creator may request transfer of the amounts through a Pix key registered in their name and duly recorded on the Platform, subject to applicable operational criteria.

5.3 Minimum withdrawal amount Each withdrawal request must meet the minimum amount of BRL 10.00 (ten Brazilian reais), and the Platform may update this limit upon prior notice to the Creator.

5.4 Transfer processing time After a withdrawal request, the standard timeframe for completion of the transfer is up to forty-eight (48) business hours, subject to security checks, compliance procedures, and registration validation.

5.5 Conditioned upon Brand payment BrandLovers shall use its best efforts to receive payments from the Brands and transfer them to Creators within the timeframe informed on the Platform. The Creator acknowledges that transfer of the Reward is conditioned upon effective payment by the Brand, and that, exceptionally, adjustments to the transfer deadline may occur due to delays on the part of the Brand.

Invoice and tax obligations

5.6 Issuance of tax documentation Where applicable, issuance of an invoice or equivalent tax document shall be required in accordance with the rules and instructions described in the Campaign briefing. The Creator acknowledges that failure to submit the required tax documentation may prevent or delay release of the Reward.

5.7 Tax responsibility The Creator is solely responsible for compliance with their tax, fiscal, and social security obligations under the laws of their country of domicile, including proper declaration of amounts received. BrandLovers does not provide tax advice and shall not be responsible for any tax filings, payments, classifications, or declarations required of the Creator.

5.8 Condition for granting the Reward The Reward shall not be granted if the Content is not approved under the terms set forth in Section IV, subject to full compliance with the Campaign conditions.

Receive Now

5.9 Availability of the feature The Platform may make available to the Creator the feature called "Receive Now," which allows advance requests for amounts related to certain Campaigns. The Creator acknowledges that not all Campaigns are eligible for this feature.

5.10 Operation by third parties The Receive Now service is offered through the Platform and operated by third parties, and is subject to specific terms and conditions that must be accepted separately by the Creator.

VI. INTELLECTUAL PROPERTY AND USE OF CONTENT

6.1 Ownership of the Platform All design, layout, and formatting of the Platform and Website, as well as all copyrights and intellectual property rights therein, are owned by BrandLovers and were developed by its internal team. The trademarks, symbols, and logos displayed on the Platform and Website are owned by BrandLovers and/or licensed for use by its partners. Reproduction of any image, video, photograph, audio, or logo available on the Platform or Website is strictly prohibited, under penalty of administrative, civil, or criminal liability, unless expressly authorized by BrandLovers.

6.2 Assignment of economic rights over the Content The Creator hereby assigns to BrandLovers, for an indefinite term, all economic rights and related rights pertaining to the Content produced for the Brands through the Campaigns and made available via the Platform, for purposes of disclosure, promotion, and dissemination of the Campaigns, including across other channels and media, online and offline, owned or third-party, including, without limitation, paid media, advertisements, boosted posts, websites, e-commerce platforms, social networks, institutional materials, and advertising materials, subject to the other conditions set forth herein and the specific conditions of each Campaign. The Creator further grants the right to use their image and voice to BrandLovers and to the Brand, and/or to any entity belonging to the economic group of BrandLovers and the Brand, for use during the period necessary for the execution, promotion, and dissemination of each Campaign.

6.3 Institutional disclosure The Creator authorizes BrandLovers to disclose their name, handle (@), profile image, and public identification of their social media accounts, as well as to mention their participation in Campaigns, on BrandLovers' own channels and the Platform, exclusively for institutional, promotional, and Campaign disclosure purposes, subject to these Terms and the Privacy Policy.

6.4 Prohibition of Content removal The Creator undertakes not to delete, hide, or render unavailable any published Content, unless expressly authorized by BrandLovers or required by law or by the rules of the social media platform used.

VII. GENERAL PROVISIONS

7.1 External links and integrations The Platform may contain links, integrations, or redirects to third-party websites, applications, or services. BrandLovers shall not be responsible for the content, information, policies, practices, or services provided by third parties, and the use of such environments shall be governed exclusively by their own terms of use and privacy policies.

Official communication and support channels

7.2 Availability of official channels BrandLovers provides official support channels for clarification of doubts, requests, and assistance related to the Platform and Campaigns, including the chat available within the App and the official WhatsApp channel, whose contact information shall always be indicated on the Platform.

7.3 Preferred use of official channels To ensure information security and proper support, the Creator undertakes to preferentially use BrandLovers' official channels. BrandLovers shall not be responsible for information, guidance, or communications made through unofficial channels, third-party profiles, or contacts not expressly identified as official.

Conduct in relationship and applicable measures

7.4 Respectful conduct The Creator undertakes to maintain respectful, ethical, and cooperative conduct in their relationship with the BrandLovers team, Brand representatives, and third parties involved in the execution of Campaigns.

7.5 Offensive language and penalties The use of offensive, threatening, discriminatory, abusive language or any conduct that violates basic principles of respect and civility may result, at BrandLovers' discretion, in warning, suspension, or banning of the Creator from the Platform, without prejudice to other applicable measures.

7.6 Fraud and manipulation Any fraudulent act, attempted fraud, or conduct aimed at manipulating results, metrics, eligibility, validations, payments, or any Platform functionality is strictly prohibited, including the use of false information, third-party profiles, improper automation, alteration of Content, simulated postings, or purchase of engagement. Upon confirmation of fraud or attempted fraud, BrandLovers may cancel the Creator's participation, suspend or permanently ban the Account, withhold or cancel related Reward payments, and adopt appropriate legal measures.

No employment relationship

7.7 Nature of the relationship These Terms do not establish any employment, corporate, associative, commercial representation, agency, partnership, consortium, or joint venture relationship between the Creator, BrandLovers, and/or the Brands. The Creator acts autonomously and independently and is solely responsible for their activities and legal obligations.

7.8 Waiver and tolerance Any tolerance by BrandLovers regarding non-compliance with any provision of these Terms shall not constitute novation or waiver of rights.

7.9 Governing law and jurisdiction These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. The courts of the District (Comarca) of São Paulo, State of São Paulo, are hereby elected as the exclusive jurisdiction to resolve any disputes arising from these Terms, with express waiver of any other jurisdiction, however privileged it may be.
